Origination & Asset Identification
We work with issuers to identify the strongest candidate assets for tokenization, and develop an initial concept for the token structure that best fits.
Structuring & Due Diligence
We assemble the working team — legal counsel, smart-contract auditor, financial auditor, and other specialists as needed — and build out the real token structure: key parties, terms and conditions, and the protections that back them. Due diligence confirms the underlying asset can commercially, financially, and legally support what is being offered. Everything is packaged into a formal offering document and investor materials.
SEC Pre-Consultation, Filing & Approval
We work through SEC pre-consultation, structuring and documentation revisions as needed, and — for public offerings — formal filing, until the offering is approved.
Market Survey, Roadshow & Launch
Our underwriting and distribution partners bring the offering to investors — through direct outreach, private events, and roadshow meetings — building the order book and refining terms based on investor feedback. Once ready, the offering goes live in the Versa app.
Allocation, Settlement & Reporting
Tokens are allocated and settled on-chain to investors' own wallets — non-custodial. We continue to support issuers with post-offering reporting and disclosure obligations as they arise.
